1Acceptance of Terms
Welcome to Sabtech Online Mini ERP (referred to as “SOMERP,” “we,” “our,” or “us”). By creating an account, registering a workspace, or using our cloud SaaS application and services, you and the business entity you represent agree to comply with and be bound by these Terms of Service. If you are registering on behalf of a company, you warrant that you have the authority to bind that entity to this agreement.
2Workspace Registration & Security
To utilize SOMERP, you must create a workspace bound to your company. You are solely responsible for:
- Maintaining the confidentiality of account passwords and workspace credentials.
- Restricting access to team members and ensuring correct role-based access control configurations inside the team panel.
- All activities, data imports, transactions, and reports compiled under your company namespace.
3SaaS Availability & Level of Service
SOMERP is offered as a cloud-based Software-as-a-Service (SaaS). We target a 99.9% application uptime, excluding scheduled maintenance windows which will be communicated in advance. We leverage high-availability servers and real-time database syncing through Convex to minimize operational disruptions. However, we do not warrant that service will be completely uninterrupted or error-free.
4Data Ownership & Multi-Tenant Isolation
You retain all ownership, intellectual property rights, and title to the records, catalogs, transactions, and client data uploaded into your workspace. We utilize logical database partitioning to enforce strict company-level separation:
5Subscription & Billing
SOMERP offers monthly and annual subscription plans. Payments are processed securely via verified third-party payment gateways (e.g., Pesapal). If your subscription expires, your account will enter a grace period, following which access to operations may be suspended until payment is completed. You can export your data reports at any time.
6Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Sabtech Online be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the ERP system, including loss of business profits, data corruption, or stock discrepancy calculations.
7Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law principles. Any dispute arising out of this agreement shall be settled through mutual arbitration in Kampala, Uganda.
